By accessing or using Lumio ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

Lumio is an AI-powered product content enrichment platform that scans publicly available product data, scores it for AI readiness, and generates enriched content to improve product visibility to AI shopping agents.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration.

You must notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access to your account.

4. Subscriptions and Billing

Lumio offers free and paid subscription plans. Paid plans are billed monthly via Stripe. Your subscription renews automatically unless cancelled before the renewal date.

Credits included in your plan are consumed when Lumio processes your products for scoring or enrichment. Unused credits do not roll over between billing periods unless specified in your plan.

We reserve the right to change pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. Your Data

You retain all rights to your product data. By using the Service, you grant Lumio a limited license to access, process, and store your product data solely to provide the Service.

Lumio accesses only publicly available product information from your website (sitemaps, product pages, JSON-LD structured data). We do not access private or authenticated areas of your store unless you explicitly grant access via an integration.

6. Enriched Content

Content generated by Lumio's enrichment engine is provided for your use. You own the enriched content once generated and may use it however you choose. Lumio does not claim ownership of enriched content.

Enriched content is generated by AI and may require review before publishing. Lumio does not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide notice of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by law, Lumio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Termination

You may cancel your account at any time. We may suspend or terminate your account if you violate these terms or for any other reason with 30 days' notice.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, after which it will be deleted.

11. Changes to Terms

We may modify these terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

12. Governing Law

These terms are governed by the laws of the United States. Any disputes arising from these terms shall be resolved in the courts of applicable jurisdiction.
